Plain English summary: Bushwick Social is a private investment club — not a fund, not a financial adviser. You pay a membership fee to access deal flow, community, and events. Bushwick Social LLC ("the Club," "we," "us") is organized as a private investment club for the collective benefit of its members. The Club is not a registered investment adviser, broker-dealer, hedge fund, or investment company under federal or state securities laws.
The Club does not manage assets, pool member capital, or make investment decisions on behalf of its members. Membership fees are paid in exchange for community access, deal flow, and services — not as an investment in any security.

All fees are paid to Bushwick Social LLC in exchange for access to the services described herein. Membership begins upon successful payment. The Club reserves the right to update membership fees with 30 days written notice to active members.
As a condition of investor membership, members commit to deploying a minimum amount of personal capital into deals sourced through Bushwick Social during each 12-month membership period:
This commitment is personal and independent. You select which deals to invest in, at what amount, and on what terms entirely at your own discretion. The Club does not make investment decisions on your behalf.
The annual investment commitment is a membership condition, not a legally enforceable financial obligation to the Club. If you cancel before completing your commitment, you are not financially obligated to the Club for the unfulfilled amount.
By becoming a member you acknowledge and agree that:
1-year commitment: By joining Bushwick Social you commit to a minimum 12-month membership term beginning on the date your first payment is processed. Membership fees for the initial 12-month period are non-refundable. This commitment reflects the value of community continuity — deals, relationships, and diligence take time to compound.
Cancellation after year one: Following the completion of your initial 12-month term, you may cancel your membership at any time by providing 30 days written notice to members@bushwicksocial.com. Membership and billing terminate at the end of the 30-day notice period. No partial-month refunds are issued.
Early cancellation: If you wish to cancel before completing your initial 12-month term, you may do so with 30 days notice but the remaining balance of your annual commitment is due in full at the time of cancellation.
Club termination: Bushwick Social reserves the right to terminate any membership immediately, without refund, for violation of these Terms, breach of confidentiality, non-disparagement obligations, or conduct that materially undermines the integrity or culture of the community.
Club dissolution: In the event the Club is dissolved, members will receive 30 days written notice. Pre-paid fees for the period following the dissolution date will be refunded on a pro-rata basis.
Investor membership requires that you qualify as an accredited investor as defined under Rule 501(a) of Regulation D of the Securities Act of 1933, as amended. This means you meet at least one of the following:
By joining as an investor member you represent and warrant that you meet this definition. You agree to provide documentation supporting your accredited investor status upon request by the Club. This representation is a material condition of membership.
By joining Bushwick Social you enter into a binding non-disclosure agreement with the Club and with all other members. You agree to keep strictly confidential all non-public information shared within the Club, including but not limited to:
Standard of care: You agree to protect confidential information with at least the same degree of care you use to protect your own confidential information, but in no event less than reasonable care.
Permitted disclosure: Confidential information may only be disclosed to your own legal or financial advisers who are bound by equivalent confidentiality obligations, or as required by law or court order — in which case you agree to notify the Club promptly before disclosure.
Duration: This confidentiality obligation survives termination of your membership indefinitely with no expiration date.
Remedy: You acknowledge that breach of this section would cause irreparable harm to the Club and its members, and that monetary damages would be an insufficient remedy. The Club is entitled to seek injunctive relief in addition to all other remedies available at law or in equity. Breach is also grounds for immediate membership termination without refund.
During your membership and for a period of 24 months following termination of your membership for any reason, you agree not to make, publish, or communicate any disparaging, defamatory, or negative statements — whether oral, written, or in any other form — about:
This obligation applies to all channels including but not limited to social media, press, podcasts, investor communications, and private conversations in professional contexts.
The Club agrees to the same non-disparagement obligation with respect to its members. This is a mutual obligation.
Nothing in this section prohibits truthful statements made in the course of legal proceedings, regulatory inquiries, or as otherwise required by law.
During your membership and for a period of 12 months following termination of your membership for any reason, you agree not to:
Scope: This section does not prohibit you from making independent angel investments in companies you encounter outside of Bushwick Social, joining other investment communities as a passive member, or conducting your normal professional activities. It is narrowly targeted at preventing direct exploitation of Club relationships and deal flow.
If any provision of this section is found to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.
Founder community access is offered at no cost to approved companies. Founders accepted into the community gain access to office hours, the founder channel, and deal night presentation opportunities as determined by the Club's Investment Committee. Founder membership is revocable by the Club at any time without notice or compensation.
8.1 — Non-Disclosure Agreement
By joining as a founder member you enter into a binding non-disclosure agreement with the Club and all investor members. You agree to keep strictly confidential all non-public information you encounter through Bushwick Social, including:
In return, the Club agrees to keep your company information, financials, and pitch materials confidential and will not share them outside the Club without your written consent. This is a mutual NDA.
This obligation survives termination of your founder membership indefinitely. Breach is grounds for immediate removal from the community and may result in legal action.
8.2 — Non-Disparagement
During your founder membership and for 24 months following its termination, you agree not to make, publish, or communicate any disparaging, defamatory, or negative statements about:
This applies across all channels — social media, press, podcasts, investor communications, and private professional conversations. The Club agrees to the same non-disparagement obligation with respect to founders and their companies. This is mutual.
Nothing in this section prohibits truthful statements in legal proceedings or as required by law.
8.3 — Good Faith Conduct
Founders agree to engage with the community honestly and in good faith. This includes:
Violation of any of the above is grounds for immediate removal from the founder community without notice.
All members — investor and founder alike — are expected to engage with the community with honesty, respect, and good faith. The following conduct is grounds for immediate membership termination without refund:
Early-stage startup investments carry substantial risk, including the potential complete loss of all invested capital. You acknowledge that:
To the fullest extent permitted by law, Bushwick Social LLC, its members, officers, and affiliates shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your membership, use of our services, or any investment decision you make.
The Club's total liability to any member for any claim shall not exceed the total membership fees paid by that member in the three months preceding the claim.
This website and all content provided by the Club is for informational purposes only and does not constitute an offer to sell or solicitation to buy any securities.
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles. Any dispute arising under or relating to these Terms shall be resolved by binding arbitration in Nashville, Tennessee, under the rules of the American Arbitration Association.
You waive any right to a jury trial or to participate in a class action lawsuit with respect to any dispute with the Club.
Bushwick Social reserves the right to update these Terms at any time. Material changes — including changes to fee structure, confidentiality obligations, or dispute resolution — will be communicated to active members with 30 days written notice before taking effect.
Continued membership after the effective date of any amendment constitutes acceptance of the updated Terms. If you do not agree to updated Terms you may cancel your membership per Section 5.
